These Terms & Conditions (“Terms”) govern your access to and use of the Toolraw™ platform (“we”, “us”, “our”). By creating an account or using the platform, you agree to these Terms. If you do not agree, please do not use the platform.

1. About the platform

Toolraw is a business-to-business (B2B) manufacturing procurement platform that connects buyers with toolrooms and raw-material suppliers. Buyers raise Requests for Quote (RFQs); suppliers submit quotes; buyers compare and award work. We are an intermediary that facilitates this process — we are not a party to any contract of sale, manufacture, or supply between a buyer and a supplier.

2. Eligibility & accounts

You must be at least 18 years old and authorised to act on behalf of the business you represent.
You are responsible for the accuracy of the information in your account and profile.
You are responsible for keeping your login credentials confidential and for all activity under your account.
We may suspend or terminate accounts that violate these Terms or that we reasonably believe are misused.

3. RFQs, quotes & awards

Buyers are responsible for the drawings, specifications and information they upload.
Suppliers are responsible for the accuracy of their quotes, capabilities and delivery commitments.
For tooling RFQs, supplier identities and prices may be withheld until the bidding window closes (sealed-bid). For raw-material RFQs, quotes are open.
We do not guarantee that any RFQ will receive quotes, or that any quote will be awarded.
Once a buyer awards a quote, the resulting order is a direct commercial arrangement between the buyer and the supplier. We are not responsible for quality, delivery, payment or disputes arising from that arrangement.

4. Credits & fees

The platform may operate on a prepaid credit model. Buyers spend credits to send an RFQ; suppliers spend credits to submit a quote, as described on the Pricing page.
Credits are purchased in advance and consumed on use. Prices and applicable taxes (GST) are shown before you confirm a purchase, and a tax invoice is issued on payment confirmation.
Refunds, where applicable, are governed by our Refund & Cancellation Policy.

5. Acceptable use

You agree not to:

upload unlawful, infringing or confidential third-party content you are not authorised to share;
attempt to circumvent the platform to solicit users off-platform in breach of these Terms;
interfere with, probe or disrupt the platform’s security or infrastructure;
misrepresent your identity, capabilities or authority.

6. Intellectual property

The platform, its software, branding and content are owned by Toolraw™ and its licensors. Drawings and specifications you upload remain yours; you grant us a limited licence to process and share them with matched suppliers solely to provide the service.

7. Disclaimers & limitation of liability

The platform is provided “as is” without warranties of any kind. Automated drawing extraction and supplier matching are aids, not guarantees, and should be independently verified. To the maximum extent permitted by law, our total liability arising out of or relating to the platform shall not exceed the amount of fees you paid to us in the three (3) months preceding the claim. We are not liable for indirect or consequential losses, or for the acts or omissions of buyers or suppliers.

8. Changes

We may update these Terms from time to time. Continued use after changes take effect constitutes acceptance.

9. Governing law

These Terms are governed by the laws of India. The courts at Gurugram, Haryana shall have exclusive jurisdiction, subject to any applicable arbitration or consumer-protection provisions.
